Terms of Service

Professional manufacturing cooperation terms governing OEM/ODM smart watch production and customization services

Cooperation Scope

These Terms of Service apply to all OEM/ODM manufacturing agreements between Rolrmani and business clients, including but not limited to:

  • / Smart watch production based on existing mature platforms
  • / Light customization services (appearance, branding, functional configuration)
  • / Packaging design and branded accessory integration
  • / Quality inspection and compliance certification support

Note: Deep hardware redesign or full custom development is not covered under standard terms and requires separate technical feasibility assessment.

Order Rules

Payment Terms

  • / Deposit: 30% upon order confirmation via T/T or L/C
  • / Balance: 70% before shipment or against copy of B/L
  • / Payment Methods: Bank transfer (T/T), Letter of Credit (L/C at sight)

Production Lead Time

Standard Models (No Customization) 15-20 days
Light Customization (Logo/Color) 25-30 days
Custom Packaging + Accessories 30-35 days

* Lead time calculated from deposit receipt and final artwork approval

Customization Terms

Sampling & Prototyping

Sample Fee

Standard: $150-300/unit

Refundable upon order ≥ MOQ

Sampling Time

Standard: 7-10 days

Custom branding: 10-15 days

Mold & Tooling Ownership

  • / Standard Molds: Owned by Rolrmani, shared across clients for cost efficiency
  • / Custom Molds: Client pays tooling cost ($3,000-$8,000), ownership transfers after full payment
  • / Exclusivity: Custom molds are client-exclusive and not used for other customers

Client must provide written approval (email or signed document) for:

Rolrmani is not liable for errors in approved designs. Changes after production start may incur additional fees.

Quality & After-Sales

Inspection Rights

Factory Inspection

Client or third-party inspector (e.g., SGS, Bureau Veritas) may conduct on-site inspection before shipment. Inspection must be scheduled 5 days in advance.

Acceptance Standard

AQL 2.5 for major defects, AQL 4.0 for minor defects (per ISO 2859-1). Detailed inspection report provided.

Warranty Policy

Standard Warranty Period 12 Months

Covers manufacturing defects from shipment date. Does not cover physical damage, water damage (if misused beyond IP rating), or unauthorized repairs.

Defect Rate Threshold

  • / Defect rate < 2%: No compensation required
  • / Defect rate 2%-5%: Free replacement units provided in next order
  • / Defect rate > 5%: Full refund or replacement at client's choice

Breach of Contract & Dispute Resolution

Breach Liability

Client Breach

  • Payment delay > 30 days: Rolrmani may suspend production and charge 1% late fee per week
  • Order cancellation after production start: Client forfeits 30% deposit and pays for completed work

Rolrmani Breach

  • Delivery delay > 15 days (non-force majeure): 0.5% compensation per week, capped at 5% of order value
  • Major quality issues (defect rate > 5%): Full refund or free replacement as per Section 04

Dispute Resolution

  1. 1. Negotiation: Parties shall first attempt to resolve disputes through good-faith negotiation within 30 days
  2. 2. Mediation: If negotiation fails, parties may seek mediation through China International Economic and Trade Arbitration Commission (CIETAC)
  3. 3. Arbitration: Final disputes shall be submitted to CIETAC for binding arbitration under PRC law

Governing Law: These terms are governed by the laws of the People's Republic of China. Language of arbitration: English or Chinese (as agreed).

Force Majeure

Neither party shall be liable for failure to perform obligations due to force majeure events including but not limited to: natural disasters, war, government actions, epidemics, or supply chain disruptions beyond reasonable control. The affected party must notify the other within 7 days and provide supporting documentation. Contract timelines will be extended accordingly.
